At Wright Service Corp. (“WSC” or “Company”), we are committed to the highest standards. Our family of companies all abide by this Code of Business Conduct (“Code”) and we expect all of our employees and Board Members to know and follow the Code. Failure to do so can result in disciplinary action, including termination of employment. Moreover, while the Code is specifically written for Wright Service Corp. and its subsidiary company employees, we expect members of our extended workforce (temps, vendors and independent contractors) and others who may be temporarily assigned to perform work or services for Wright Service Corp. to follow the Code in connection with their work for us, as is further described in the Supplier Code of Conduct.
Together, as a family of companies, Wright Service Corp. provides integrated vegetation management, forest management and reforestation, technology solutions, consulting and operations, commercial environmental products, residential and commercial landscaping, tree care, interior plantscaping and other outdoor and indoor services.

Business Ethics
The successful business operation and reputation of Wright Service Corp. is built upon the principles of fair dealing and ethical conduct of our employees. Our reputation for integrity and excellence requires careful observance of the spirit and letter of all applicable laws and regulations as well as scrupulous regard for the highest standards of conduct and personal integrity. Accordingly, we comply with all applicable laws and regulations and expect the same of all directors, officers and employees.
Compliance with this policy of business ethics and conduct is the responsibility of every employee. When making decisions, consider whether it is legal, consistent with our Code and if it reflects the guiding principles of Wright Service Corp. Disregarding or failing to comply with this standard of business ethics and conduct may lead to disciplinary action, up to and including, termination of employment.
Anti-bribery and Anti-corruption
Wright Service Corp. takes a zero-tolerance approach to bribery and corruption by striving to comply with all anti-bribery and anti-corruption laws worldwide and conducting business with integrity. Employees shall refrain from accepting or providing anything of value, either directly or indirectly, in order to obtain an improper advantage or to obtain, retain or direct business. These prohibitions include, but are not limited to, payments to third parties where the employee or agent knows, or has reason to know, that the third party will use any part of the payment for bribes.
Anti-trust
Wright Service Corp. expressly prohibits all forms of anticompetitive behavior. We are committed to fully complying with the letter and spirit of all laws that apply to our business. Wright Service Corp. takes particular care to ensure that we comply with all antitrust laws. The goal of antitrust laws is to ensure a competitive marketplace that allows efficient and innovative firms to succeed. We believe that our company will prosper in a competitive marketplace, and we fully support the enforcement of antitrust laws in all markets in which we compete. We expect all of our employees to report any instance of non-compliance with the law through the proper channels and to ask about any activity that might not comply with the law.
Conflicts of Interest
Employees must be free from any financial interests or other relationships that might conflict with the best interests of Wright Service Corp. and its family of companies. Accordingly, each Employee shall avoid any investment or other interest in another business that would conflict with the proper performance of his or her duties or responsibilities for Wright Service Corp., or that might interfere with his or her independence of judgment with respect to transactions between Wright Service Corp. and such other business. Employees of Wright Service Corp. are prohibited from using their position with Wright Service Corp. or Wright Service Corp.’s relationships for private gain or to obtain benefits for themselves or members of their family.
If you become aware of any potential conflict of interest or ethical concern regarding your employment or another employee at Wright Service Corp., you must promptly speak to, write or otherwise contact your direct supervisor or, if the conduct involves your direct supervisor, provide a written report to [email protected] as soon as possible. You should be as detailed as possible in your report. Wright Service Corp. will investigate all concerns regarding conflicts of interest to the fullest in order to determine whether a conflict of interest exists and the appropriate action to be taken. Discipline, reprisal, intimidation or retaliation for reporting a potential conflict of interest or violation of this policy or cooperating in related investigations will not be tolerated.
Protection of Trade Secret or Proprietary Information
WSC’s trade secrets and proprietary information are vital to the current operations and future success of the Company. Each employee shall use all reasonable care to protect or otherwise prevent the unauthorized disclosure of such information. In no event shall trade secret or proprietary information be disclosed or revealed within or outside Wright Service Corp. without proper authorization or purpose. As provided for by federal law, an employee will not be held criminally or civilly liable under any federal or state trade secret law for any disclosure of a trade secret that is made in confidence to a federal, state or local government official, either directly or indirectly, or to an attorney and solely for the purpose of reporting or investigation of a suspected violation of law, or in a complaint or other document that is filed under seal in a lawsuit or other proceeding. If an employee is uncertain whether certain information should be treated as confidential, the employee should presume that such information is confidential and not disclose it without proper authorization.
By way of example, trade secret or proprietary information will include information regarding Wright Service Corp.’s processes, business methods, approved work methods, business plans, systems, technology, intellectual property, know-how, business development, operations, products, services, research, development, inventions, financial statements, financial projections, financing methods, pricing strategies, customer sources, system designs, terms and conditions of arrangements of any business or customer, customer lists, methods of competing and other proprietary information.
Workplace Safety and Conduct
All employees must abide by the Employee Handbook, Drug and Alcohol Policy, Business Attire Policy, Confidentiality Policy, Social Media Policy, Clean Desk Policy, Equipment Policy, Zero Tolerance Policy, Social Responsibility Statement and agree to appropriate training, licensing and certifications to complete tasks, and to be a Brother’s and Sister’s Keeper.
If you witness or otherwise become aware of any unsafe conditions or potential hazards (such as wet floors or broken equipment), or if you have any other workplace safety concerns, you must report them to your direct supervisor immediately, or if your direct supervisor is unavailable, the next level above your direct supervisor as soon as possible.
It is important that all work-related injuries and illnesses are reported to Wright Service Corp.’s management as soon as reasonably possibly after they occur. Prompt reporting allows an injured or ill employee to receive necessary medical treatment as soon as possible and facilitates the timely identification and correction of hazards. In some circumstances, an employee may not immediately realize that the employee has been injured or become ill. In these circumstances, the employee must report the injury or illness as soon as reasonably possible after becoming aware of the injury or illness.

Workers Rights
Wright Service Corp. abides by and supports human rights as it relates to the United Nations International Bill of Human Rights and the International Labour Organization in all activities and in the communities we serve. Wright Service Corp. meets or exceeds applicable laws as it relates to disability accommodations, religious accommodations, and maintain a zero-tolerance harassment policy.
Freedom of Association
Wright Service Corp. respects the rights of its employees to choose whether to associate with any lawful organization, including labor organizations. As such, Wright Service Corp. does not take any action to prevent or suppress the exercise of these rights, punish workers that exercise these rights, retaliate against workers who raise collective bargaining compliance issues or discriminate against workers based on union membership.
Whistle Blower
Any employee who believes that he or she has been harassed or discriminated against by a co-worker, supervisor, agent, client, vendor or customer of the Company (or who is aware of the harassment or discrimination of others) should immediately provide a written or verbal report to [email protected], or call 1-800-882-1216, to report such incident(s). The Company will endeavor to protect the privacy and confidentiality of all parties involved to the extent possible, consistent with a thorough investigation.
After a report is received, a thorough and objective investigation by management will be undertaken. The investigation will be completed, and a determination made and communicated to you as soon as practical. Wright Service Corp. expects that all employees fully cooperate with any investigation conducted by the Company.
If we determine that this policy has been violated, remedial action will be taken, commensurate with the severity of the offense. Appropriate action will also be taken to deter any future harassment or discrimination. If a complaint of harassment or discrimination is substantiated, appropriate disciplinary action, up to, and including, discharge, will be taken.
Protection Against Retaliation
Retaliation is prohibited against any person by another employee or by the Company for using any complaint procedure provided in this Code, reporting harassment or for filing, testifying, assisting or participating in any manner in any investigation, proceeding or hearing conducted by a governmental enforcement agency. Prohibited retaliation includes, but is not limited to, termination, demotion, suspension, failure to hire or consider for hire, failure to give equal consideration in making employment decisions, failure to make employment recommendations impartially, adversely affecting working conditions or otherwise denying any employment benefit.
If you are subjected to any conduct that you believe violates this policy, you must promptly speak to, write or otherwise contact your direct supervisor or Human Resources Department, ideally within twenty (20) days of the offending conduct. If the conduct involves your direct supervisor, you may contact the next level above your direct supervisor or the Human Resources Department. These individuals will ensure that an investigation is conducted in a timely fashion.
Your complaint should be as detailed as possible, including the names of all individuals involved and any witnesses. Wright Service Corp. will directly and thoroughly investigate the facts and circumstances of all perceived retaliation and will take prompt corrective action, if appropriate.
Protecting Data
Employees should protect the confidential information of our consumers and third parties and safeguard their confidential personal information against unauthorized access, use or disclosure. To protect Wright Service Corp.’s confidential information, all employees will be expected to follow company standards regarding technological security. If an employee has received permission to use a personal device from WSC, WSC reserves the right to monitor, intercept, review and remotely wipe, without further notice, all Wright Service Corp. content or the entire contents of the device, including your personal content, in Wright Service Corp.’s sole discretion. Sustainability
Wright Service Corp.’s global campus is dedicated to supporting the well-being of our employees, environment and community while reflecting the passion of environmental stewardship in the services our family of companies provide. Core key performance indicators (KPIs) will be used to track the progress in target areas for WSC’s headquarters and will be used by each of WSC’s operating companies in coming years to gauge progress towards sustainability. These KPIs will help shape goals to drive continuous improvement.
Responsible Partnership
Wright Service Corp. administers a Supplier Code of Conduct that applies to all parties providing goods or services (collectively, “Suppliers”), to Wright Service Corp. and its family of companies, affiliates and subcontractors whether organized, operating or existing under United States law or the law of any other country, state, political union, municipality, administrative district or other governmental authority. This Code establishes the standard of conduct Wright Service Corp. expects from its Suppliers in several areas, including human rights, labor requirements, health and safety, environmental compliance and management practices. Wright Service Corp. reserves the right to assess supplier compliance against our Code. Violations of our Code may result in corrective action, including termination of the business relationship with Wright Service Corp.
